Introduction

Welcome to Skyevin. These Terms & Conditions ("Terms") govern your use of our website and the cloud, security, governance, and compliance services we provide ("Services"). They form a binding agreement between you and Skyevin and set out the rights and responsibilities that apply whenever you interact with us.

By accessing or using Skyevin, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using our Services on behalf of an organisation, you represent that you have the authority to accept these Terms on that organisation's behalf. If you do not agree with any part of these Terms, you should not access or use our website or Services.

Your Account

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activity that takes place under your account. You agree to keep your details accurate, complete, and up to date, and to notify us promptly of any unauthorised access or suspected security breach.

You should not share your credentials with others or allow anyone to access your account in a way that could compromise its security or misrepresent your identity. We are not responsible for any loss or damage arising from your failure to safeguard your account, and we may take reasonable steps, including suspension, where we believe an account's security has been put at risk.

Acceptable Use

You agree to use Skyevin only for lawful purposes and in a manner that respects the rights of others and preserves the security and integrity of our systems and Services. You must not use our website or Services to transmit harmful code, gain unauthorised access to any system, disrupt our infrastructure, or engage in any activity that is fraudulent, abusive, or otherwise unlawful.

You also agree not to attempt to reverse engineer, interfere with, or circumvent any security or access controls we put in place, and not to use our Services in any way that could damage, disable, or overburden our platform or impair another user's experience. We reserve the right to investigate and take appropriate action against any use that breaches this section.

Our Services

Skyevin provides cloud consulting and managed technology services, including data protection, privacy and compliance readiness, licence optimisation, cloud platform management, and related security and governance Services. Our aim is to help organisations make their operations more resilient, keep their data secure, and align their technology with their long-term goals.

Where we deliver managed or professional services, the specific scope, deliverables, fees, timelines, and service levels are set out in a separate service agreement or statement of work between you and Skyevin. In the event of any conflict between these Terms and such an agreement, the terms of that agreement will prevail for the relevant engagement. We may also improve, modify, or discontinue features of our website and Services from time to time to keep them effective, secure, and up to date.

User Responsibilities

You are responsible for the content and information you submit to us and for ensuring that your use of our Services complies with all applicable laws and regulations. Where an engagement requires us to access, configure, or manage your systems, cloud environments, or accounts, you are responsible for obtaining the necessary authorisations, licences, and consents to allow us to do so lawfully.

You agree to cooperate with us in good faith, to provide accurate and timely information where it is reasonably needed to deliver our Services, and to maintain appropriate backups and safeguards on your side. You remain responsible for decisions you make based on our recommendations and for the ongoing operation of your environment except to the extent expressly agreed otherwise in a service agreement.

Intellectual Property

All content, software, methodologies, trademarks, logos, and designs made available on or through Skyevin are owned by or licensed to Skyevin and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you, and you may not copy, modify, distribute, publish, or create derivative works from our materials without our prior written permission.

Any frameworks, templates, tools, or know-how we use to deliver our Services remain our property, even where they are applied within your environment. Where a service agreement grants you a licence to use specific deliverables, that licence applies only on the terms set out in that agreement.

Termination

We reserve the right to suspend or terminate your access to our website or Services, in whole or in part, if you violate these Terms, misuse our Services, or engage in conduct that we reasonably believe may harm Skyevin, its users, or third parties. Where practical and appropriate, we will aim to give you notice before doing so.

Termination of any managed or professional services engagement is governed by the relevant service agreement. On termination, your right to use the affected Services ceases, though any provisions that by their nature should survive, such as those relating to intellectual property, confidentiality, and limitation of liability, will continue to apply.

Disclaimers

Our website and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, except where such warranties cannot be excluded under applicable law. We do not warrant that our Services will be uninterrupted, error-free, or entirely secure, or that they will meet every requirement you may have.

While we take reasonable care to deliver our Services professionally and in line with recognised standards, you acknowledge that no security, compliance, or cloud service can guarantee absolute protection against every risk. Any specific commitments we make will be set out expressly in a service agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, Skyevin shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity, arising from or in connection with your use of our website or Services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Where we agree specific liability terms or caps in a service agreement, those terms will govern the relevant engagement.

Governing law

These Terms are governed by the laws applicable in the jurisdiction where Skyevin operates, being the Dubai International Financial Centre (DIFC) and the United Arab Emirates. Any disputes arising from or relating to these Terms or your use of our Services will be subject to the jurisdiction of the applicable courts in that jurisdiction.

Changes

We may update these Terms periodically to reflect changes in our Services, our business, or applicable legal requirements. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice.

Your continued use of our website and Services after any changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly so that you remain informed of your rights and obligations.
